1. ACCEPTANCE OF TERMS

By accessing or using our websites, courses, training, coaching, resources, speaking engagements, and related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use our Services. Use of this website and checking the ‘agree to terms’ box upon your enrolment indicates your acceptance of these Terms and forms a binding agreement between you and MainTraining Pty Ltd.


2. USE OF SITE & MATERIALS

MainTraining Pty Ltd provides various materials, courses, videos, bots, books, quizzes, tests, articles, and other content ("Materials") for educational purposes. Users may download and print one copy of the Materials for personal use only, provided no modifications are made, and all copyright and proprietary notices are retained. Users may not reproduce, distribute, share, modify, sell, or disclose the Materials to any third party. Any breach of these Terms automatically terminates your right to use the Materials and Services.


3. ENROLMENT & ACCESS

By accepting these terms, you agree to pay the full fee for the Course/Product you have enrolled in. Course fees remain payable in full even if you do not complete the Course. If the participant is under 18, a parent/guardian is responsible for payment. The duration of course access is specified on the course information page. By enrolling, you acknowledge and accept these access periods. Our courses are not accredited or certified training programs.


4. REFUNDS, CHARGEBACKS & CANCELLATIONS

MainTraining Pty Ltd complies with Australian Consumer Law (ACL) regarding refunds. 

We are not required to provide a refund if you change your mind about a course or product, and each of our products and services have their own unique policy regarding cancellations and refunds - so please check each course/products/service information page accordingly. 

However, where not explicitly stated, in cases of extenuating circumstances, refunds for self-study courses may be considered as follows:

4.1: Self-Study Online Courses

100% refund within 7 days of enrolment if less than 10% of the course has been accessed.

50% refund within 14 days of enrolment if less than 10% of the course has been accessed.

25% refund within 30 days of enrolment if less than 10% of the course has been accessed.

No refunds after 30 days or if more than 10% of the course has been accessed.

4.2: Membership Academy

Membership fees are non-refundable as users pay for access, not consumption of content. Users may cancel their membership anytime by emailing sarah@sarahcordiner.com

4.3: Chaos to Control VA SOPs Package

This is a package-based service, not a course or coaching program and is subject to separate refund and cancellation terms - which are no refunds once the SOPs have been delivered to you or access granted.

4.4: Services & Custom Work

Refunds and cancellations for done-for-you services are governed by a separate Services Agreement, which is provided before project commencement.

4.5: Chargebacks & Disputes

Any chargebacks or disputes filed through PayPal, Stripe, or a bank will be contested with evidence of the user’s agreement to these Terms upon enrolment, including reports that show all students log in, access and course consumption evidence from our course software. 


5. AUSTRALIAN CONSUMER LAW & WARRANTIES

Our Services come with consumer guarantees under the Competition and Consumer Act 2010 (Cth).We do not guarantee any specific results from training, coaching, or courses. If issues arise, contact us at sarah@sarahcordiner.com for resolution.


6. INTELLECTUAL PROPERTY

All content, including courses, materials, and training resources, remains the intellectual property of MainTraining Pty Ltd and Sarah Cordiner.Users are granted a limited, non-transferable, non-exclusive licence to use Materials for personal development only.Any unauthorised use, reproduction, or distribution may result in legal action.


7. LIABILITY & DISCLAIMER

We do not provide legal, financial, or medical advice.To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages resulting from the use of our Services.We are not responsible for technological failures beyond our control.


8. PRIVACY POLICY & DATA COLLECTION

We collect and store personal data in accordance with the Privacy Act 1988 (Cth).By using our Services, you consent to our data practices outlined in our Privacy Policy.We do not sell or share personal data with third parties unless required by law.


9. GEOGRAPHIC LOCATION & APPLICABLE LAW

MainTraining Pty Ltd is a legally registered company in Queensland, Australia.Users may access content from any country, but these Terms are governed by Queensland law.Any disputes must first be attempted to be resolved through mediation before proceeding to legal action.


10. AFFILIATIONS & HYPERLINKS

Links to external websites are provided for convenience. MainTraining Pty Ltd does not control or endorse external websites and is not responsible for their content.Users access external sites at their own risk.


11. NO WARRANTY

The Materials are provided "as is" without warranties of any kind, including fitness for a particular purpose.MainTraining Pty Ltd does not guarantee accuracy, completeness, or updates to Materials.


12. LIMITATION OF LIABILITY

In no event shall MainTraining Pty Ltd or its affiliates be liable for any damages resulting from the use or inability to use our Services.If your use of our Materials results in the need for repairs or corrections, you assume all costs.


13. CHANGES TO TERMS

These Terms may be updated at any time.Continued use of our Services after changes constitutes acceptance of the revised Terms.

TERMS OF SERVICES AGREEMENT For the delivery of done-for-you tech and course services

1. AGREEMENT & ACCEPTANCE

1.1. By purchasing services from MainTraining Pty Ltd, you agree to be bound by this Services Agreement.

1.2. You accept this Agreement by:

(a) signing and returning the Proposal/Tax Invoice;

(b) confirming acceptance in writing, including by email;

(c) accepting the Proposal online;

(d) allowing us to proceed with the Services; or

(e) making part or full payment for the Services.


2. DESCRIPTION OF SERVICES, INLCUSIONS AND EXCLUSIONS

2.1. Services provided will be as per your Proposal/Tax Invoice and may include:

Tech setup (e.g., LMS configuration, website setup, automation)

Curriculum design and course structuring

Done-for-you services related to e-learning platforms, content creation, and automation

Consulting and advisory sessions with Sarah Cordiner (via Zoom or in-person)Any additional services agreed upon in writing

2.2. We may use employees, contractors, or third-party providers to deliver the Services.

2.3 - Inclusions and Exclusions:


2.3.1. All inclusions and deliverables for your project are strictly limited to the specific items outlined in your signed Service Agreement/Tax Invoice. Only those items expressly listed are included in your service package.


2.3.2. Unless explicitly stated as an itemised inclusion in your signed contract, the following are not included in your service or project scope:

  • Access to or discounts for Tekmatix software subscriptions (Standard, Pro, or otherwise).

  • Extended free trials of the Tekmatix platform or any third-party platforms.

  • Licences, access, or subscriptions to any other third-party tools, software, plug-ins, or resources (e.g., Zoom, Stripe, Video Editing Tools, WordPress plugins, design software, etc.).

  • Any associated fees or costs related to third-party services or platforms not directly owned or operated by MainTraining Pty Ltd or Sarah Cordiner.


2.3.3. Tekmatix is a standalone platform with its own pricing structure and subscription requirements. Access to Tekmatix is not automatically included in any done-for-you service or course creation package, unless specifically detailed and itemised in your signed agreement.


2.3.4. Maintenance, hosting, ongoing support, software updates, or post-project management are not included unless they have been purchased as a separate ongoing service package.


2.3.5. We take no responsibility for costs, issues, or limitations associated with any platforms, tools, or systems outside of the exact deliverables agreed upon in your signed contract. You are responsible for maintaining all third-party accounts, fees, and integrations unless specifically managed by us under an additional paid service agreement.

2.3.7. Project Management calls, services or support are limited to the number of hours explicitly stated in ther Service Agreement. Any extra time on calls or work with our Project Manager, will be an additonal charge of $150 AUD per hour.



3. PROJECT COMPLETION & TIMELINES

3.1. Project timeframes are estimates only and may vary based on requirements, feedback timeframes, and client responsiveness.

3.2. The project will be deemed complete once all agreed services have been delivered (or up to a maximum of 90 days of the client has not provided adequeate information or resources required to complete the project in this time); and the revision period has ended (see Section 4).

3.3. If your service includes content uploading, copy from you, information from you, approvals from you - you have 90 days from project commencement to submit your content to us, provide any information that we need to complete the project and provide it in full without making chnages to it. Failure to provide content within this timeframe means we will not upload it or use it, and we will close the porject as complete, unless additional services or time are purchased.

3.4. Post-Completion Support: Services do not include post-completion maintenance or support unless separately purchased as an ongoing maintenance package.


4. REVISION POLICY

4.1. Each project is delivered 'handed over' in three stages: beginning, middle, and completion.

4.2. Clients are entitled to one revision request per stage of delivery. A revison request is defined as tweaks, edits and adjutments.

4.3. Clients have 7 days from the date of each draft’s delivery to submit a single revision request in ONE email. Only one revision request may be sent at each round and it must come in one single email - not multiple emails.

4.4. Additional revisions beyond the first free revision per stage will be charged at $150 AUD per hour.

4.5. If revision requests are submitted after the 7-day period, they will also be charged at $150 AUD per hour.

4.6. All revision requests must be provided in a single email per revision cycle. Multiple emails for the same revision cycle will not be accepted.


5. PAYMENT TERMS

5.1. The client agrees to pay all fees as outlined in the Proposal/Tax Invoice.

5.2. Payment must be made either:

(a) In full prior to commencement; or

(b) Via an agreed payment plan (subject to written approval); or

(c) Through an external finance provider that covers the full cost upfront.

5.3. If payment is not received by the due date, we reserve the right to pause all services until payment is made.

5.4. Overdue invoices will incur interest charges at 8% per annum and may be referred to a debt collection agency at the client’s expense; and in such time we reserve the right to delete work, data and close all access to your services.


6. REFUNDS & PROJECT CANCELLATIONS

6.1. The client may cancel their project at any time; however, a 25% cancellation fee of the total project value will be charged and payable to cover administrative costs; AS WELL AS the costs for any work completed or in progress to date.

6.2. No refunds will be issued on work or hours rendered. All staff are tracked using time tracking software and these hours are billable in the instance of cancellation, even if work is incomplete at the time of cancellation.

6.3. If a client cancels a project after commencement, they are responsible for any additional fees related to work already completed beyond the 25% cancellation fee.

6.4. If no fees have been paid at the time of cancellation, the client agrees to pay for all work completed up to that point.

6.5. We do not offer refunds for change-of-mind cancellations.

6.6. Consulting & Advisory Sessions with Sarah Cordiner (Zoom Calls, In-Person, or ‘Get It Done’ Days):

These services are time-based, and payment is for Sarah’s time exclusively, not for specific outcomes or task completions.

If you cancel within 24 hours of the appointment time, 50% of the session fee will be forfeited.

If you reschedule within 24 hours, the new session will be subject to Sarah’s availability, and a rescheduling fee may apply.

No refunds or credits are available for no-shows or cancellations on the day of the session.

Consulting time with Sarah Cordiner is limited to the duration of the session purchased or the exact amount of time stated in the Service Agreement.

Additional time with Sarah Cordiner (including 'prep time' if you require her to read or review content, materials, videos or documentation prior to meetings), or extra consulting time, must be purchased ina dditon at Sarh's minimum hourly rate of $600 AUD per hour.


7. ADDITIONAL SERVICES & SCOPE ADJUSTMENTS

7.1. If a client requests extra work or if additional work is required beyond what is explicitly described in the original Proposal/Tax Invoice, the following will apply:

Any additional services will first be agreed upon in writing via email or a variation to contract.

A variation estimate or variation invoice will be provided to the client detailing the cost of the additional scope of work.

The client must accept or decline the variation estimate/invoice before work proceeds.If the variation is not accepted, the additional work will not take place.

If accepted, the additional scope of work and its price will be explicitly listed in the new variation invoice, which will serve as an addendum to the existing contract.


8. LIMITATION OF LIABILITY

8.1. We are not liable for:

Delays caused by client inaction, third-party platforms, or unforeseen events.

Website/platform issues resulting from third-party software or hosting providers.Loss of revenue, business opportunity, or indirect damages.Errors caused by modifications made by the client or third parties post-completion.8.2. If errors are found after project completion due to our work, we will correct them within 7 days at no cost (if reported within the revision period).

After this, corrections will be charged at our hourly rate.


9. GOVERNING LAW

9.1. This Agreement is governed by the laws of Queensland, Australia.

9.2. Any legal action must be filed in Queensland courts.
