Version 4.0, last updated 22 October 2026. These terms replace all earlier versions of our Terms of Use, Terms of Service and Terms of Services Agreement. They apply to every purchase made on or after the date they are published on this page. Clause 23 explains how they apply to existing subscriptions.
Please read them carefully. By ticking the box at checkout, paying for, booking or using any of our products or services, you agree to these terms. If you do not agree, please do not buy or use our products or services.
Terms that apply to everything
These apply to every product, program, service and booking, together with the specific terms for your product in Parts B, C and D.
01Who we are and how these terms fit together
These terms are between you and MainTraining Pty Ltd (ABN 74 164 108 954), a company registered in Queensland, Australia, trading as Sarah Cordiner, Legends Lab and MainTraining (we, us, our). Our contact details are in clause 35.
Tekmatix is a separate company. Tekmatix software, Tekmatix subscriptions and any done-for-you build services bought through a Tekmatix checkout are supplied by Tekmatix's operating company under Tekmatix's own terms, not these terms. Sarah Cordiner is the founder of Tekmatix, but MainTraining Pty Ltd is not responsible for Tekmatix products or services.
If documents conflict, they apply in this order (the first wins):
- a signed written agreement, proposal or booking contract for your specific engagement;
- the product, sales or booking page for what you bought, as it was at the time you bought it;
- the specific terms for your product in Parts B, C and D; then
- the general terms in Part A.
02Key definitions
03Accepting these terms
You accept these terms when you do any of the following: tick the "I agree" box at checkout, pay any amount, sign or accept a proposal, invoice or booking form (including online or by email), or access or use a product.
By accepting, you confirm that:
- you are at least 18 years old, or a parent or guardian has agreed to these terms for you and is responsible for payment;
- if you are buying for a business or organisation, you have authority to bind it;
- the information you give us is true and up to date; and
- you agree to receive invoices, notices and other communications from us electronically, by email or through the platform.
Our products are business education and business services. By buying, you confirm that you are acquiring them mainly for business or professional purposes, unless you tell us otherwise in writing before you buy.
04Your rights under the Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the ACL or any other law that cannot lawfully be excluded. Where these terms say "no refunds" or limit our liability, that is always subject to this clause.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
Business purchases
Where you are a consumer under the ACL but the product is not of a kind ordinarily acquired for personal, domestic or household use or consumption, then to the extent permitted by section 64A of the ACL, our liability for a failure to comply with a consumer guarantee is limited, at our option, to:
- for services: supplying the services again, or paying the cost of having the services supplied again; and
- for goods: repairing or replacing the goods, supplying equivalent goods, or paying the cost of doing so.
If the ACL gives you a cooling-off period (for example, for an unsolicited consumer agreement), you keep that right.
05Prices, payments and GST
- Currency and GST. Prices are in Australian dollars (AUD) unless the product page says otherwise. Prices for Australian customers include GST unless marked "plus GST". Your bank may charge currency conversion or international transaction fees, which are your responsibility.
- Payment. Payment is due at checkout, or by the due date on your invoice. We process payments through providers such as Stripe and PayPal. You authorise us and our payment providers to charge your nominated payment method for all amounts due under these terms, including recurring subscription payments and payment plan instalments.
- Payment plans. A payment plan is a way of paying the full price in instalments. It is not a subscription you can cancel. If you choose a payment plan, you agree to pay every instalment, even if you stop using the product, unless the ACL entitles you to cancel.
- Failed and late payments. If a payment fails or is late, we may retry the charge, email you to update your payment details, and pause your access until the account is up to date. If an amount remains unpaid for 14 days after we have given you written notice, we may cancel your access and, for payment plans, require the remaining balance to be paid.
- Interest and recovery costs. Amounts more than 30 days overdue accrue interest at 8% per year, calculated daily. If we need to refer an overdue debt to a debt collector or lawyer, you agree to pay our reasonable recovery costs.
- Price changes. We may change our prices at any time. A price change does not affect anything you have already paid for. For subscriptions, clause 28 applies.
- Promotions and coupons. Discounts, bonuses and coupon codes apply only on the terms stated, cannot be applied after purchase, and cannot be exchanged for cash.
06Refunds: the general rule
Unless the product page or Part B, C or D says otherwise, we do not provide refunds, credits or transfers for change of mind. This includes deciding a product is not right for you, not having time to use it, not attending, not logging in, or no longer needing it.
This does not affect your rights under the ACL (see clause 4). If you believe a product has a problem, please email us with details so we can put it right.
To request a refund you believe you are entitled to, email [email protected] with your name, the product, the purchase date and the reason. We will respond within 10 business days. Approved refunds are paid to the original payment method, usually within 10 business days of approval. When a refund is given, your access to that product ends.
07Chargebacks and payment disputes
If you have a problem with a payment, please contact us first. We will work with you to resolve it.
- If you lodge a chargeback or payment dispute with your bank, Stripe, PayPal or any other provider, we may suspend your access to all our products while the dispute is open.
- We will respond to disputes with evidence of your agreement to these terms, your purchase, and your use of the product, including login, access, attendance and course progress records from our platforms.
- If a dispute is decided in our favour, or is withdrawn, any amount still owed remains payable and you agree to pay the reasonable fees we were charged by our payment provider for the dispute.
- A chargeback does not cancel a payment plan or your obligation to pay for a product you have received.
08Accounts, access and acceptable use
Your access is personal to you (or, for a business licence, to the number of named users stated on the product page). You must:
- keep your login details private and not share your account or let anyone else use it;
- not download, screen-record, copy, scrape or capture videos or materials, except where we provide a download button;
- not use bots, scrapers or automated tools to access the platform;
- not try to bypass security, payment or access controls; and
- not use the platform for anything unlawful, harmful, misleading or abusive.
We may monitor account activity (for example, logins from multiple locations) to protect our materials. If we reasonably believe your account is being shared or misused, we may suspend it under clause 18.
Access periods
Your access period is stated on the product page (for example, 12 months of replay access). Where a product is described as "lifetime" access, this means access for as long as we continue to offer that product or materials on our platform, not your lifetime or ours. If we retire a lifetime-access product within 2 years of your purchase, we will offer you a comparable replacement or an equivalent credit.
09Intellectual property
All materials, and all intellectual property in them, are owned by or licensed to MainTraining Pty Ltd and Sarah Cordiner. This includes our names and brands (including Sarah Cordiner, Legends Lab and MainTraining), frameworks, methods, course structures, prompts and AI skills. Buying a product does not transfer ownership of anything to you.
Your licence
Once you have paid, we give you a limited, non-exclusive, non-transferable, revocable licence to access and use the materials for the access period, for your own learning and to run your own business. You may:
- use our prompts, AI skills, templates, SOPs and workbooks inside your own business, and adapt them for your own internal use;
- share outputs you create with your own clients (for example, a sales page you built using our prompts); and
- let your own staff use materials for your business, where the product allows team access.
You must not, without our written permission:
- copy, share, publish, sell, sublicense, give away or distribute the materials, or any substantial part of them, to anyone outside your licence;
- repackage, rebrand or teach our materials, frameworks or prompts as your own course, membership, template pack, prompt library, workshop or service; or
- remove any copyright or ownership notice.
Your licence ends automatically if you breach this clause, if your access period ends, or if you receive a refund or chargeback for the product.
Your content
You own the content you create and share with us (for example, your questions, posts and business information). You give us a non-exclusive, worldwide, royalty-free licence to use it to deliver our products, run our community, and improve our materials. We will not publish your confidential business information. Any feedback, ideas or suggestions you give us about our products can be used by us freely, without payment or credit.
Enforcement
Unauthorised use of our materials causes us real loss. If you breach this clause, we may terminate your access without refund, require you to stop the use and destroy copies, and take legal action, including seeking an injunction, damages and an account of profits.
10Using our materials with AI
We teach you to use AI, and we want you to. Here is where the line sits.
You are responsible for how you use AI tools, including checking that outputs are accurate, lawful and suitable before you rely on or publish them, and for following each AI provider's own terms.
11Recordings, images and testimonials
- Recordings. Live sessions, workshops, Legends Lab calls, masterclasses and one-on-one sessions are usually recorded and may be transcribed and summarised using AI. We will tell you when a session is being recorded. By attending, you consent to being recorded.
- How we use recordings. We may use recordings, transcripts and screenshots of sessions to provide replays to attendees and members, to create training content, and in marketing. In group sessions you can keep your camera off, rename yourself, or ask questions privately.
- Opting out of marketing use. If you do not want to be identifiable in our public marketing, tell us before the session or within 14 days after it, and we will not feature you in public content from that session.
- In-person events. Events may be photographed and filmed. Attending means you consent to appearing in event photos and video, unless you tell our team on the day.
- Testimonials. If you give us a testimonial, review, case study or result, you consent to us publishing it with your name, business name and photo, and to editing it for length and clarity without changing its meaning. You confirm it is genuine and reflects your honest experience. You can ask us to stop using it in future marketing at any time.
- Your own recordings. You must not record, screenshot or share any live session, or other members' contributions, without our written consent and the consent of those involved.
12Community rules and confidentiality
Our communities (including the Legends Lab portal, WhatsApp groups and Facebook groups) are generous, supportive spaces. To keep them that way, you must:
- be respectful. No harassment, bullying, discrimination, hate speech or abusive behaviour;
- keep what other members share confidential and not use it outside the community;
- not spam, promote, pitch, recruit, sell to or solicit other members, in the community or by direct message, unless we have expressly invited it;
- not post anything unlawful, misleading, defamatory or that infringes someone else's rights; and
- follow any additional community guidelines we publish.
We may remove posts and moderate the community at our discretion. Support in the community, including responses from Sarah, is provided as described on the current product page and is subject to availability. Response times are not guaranteed.
13Education only, no guaranteed results
- General education. Our materials are general business education and information. They are not legal, financial, tax, accounting, investment, medical or psychological advice, and they do not take your personal circumstances into account. Get advice from a qualified professional before making decisions in those areas.
- No guaranteed results. Any examples of results, income, revenue, growth or time savings (including Sarah's own and our students') are illustrative only. They are not typical and are not a promise. Your results depend on many factors outside our control, including your effort, skills, market, offer and circumstances.
- Not accredited. Our courses are not nationally accredited training and do not lead to a formal qualification, unless a product page expressly says so.
- Your decisions. You are responsible for the decisions you make and actions you take in your business, including your compliance with laws that apply to you (such as consumer, privacy, spam, advertising and tax laws).
- Accuracy. We work hard to keep materials accurate and up to date, but technology, AI tools, platforms and laws change quickly. Some materials may become out of date, and screens or features may look different from what is shown.
14Third-party tools, platforms and links
Our products often teach or use third-party software, such as AI tools, CRMs, payment platforms, video tools and social media. Those tools are supplied by their own providers under their own terms and pricing. We are not responsible for their availability, features, pricing, changes, security, outages or data handling. Unless your product expressly includes it, the cost of any third-party tool is your responsibility.
Some links in our materials and emails are affiliate links. We may earn a commission if you buy through them, at no extra cost to you. We only recommend tools we use or genuinely believe in, but your use of them is at your own risk.
15Limitation of liability
This clause is subject to clause 4. It does not limit any liability that cannot lawfully be limited, or our liability for fraud or for death or personal injury caused by our negligence.
To the maximum extent permitted by law:
- all terms, conditions, warranties and guarantees that are not expressly set out in these terms, and that can lawfully be excluded, are excluded;
- we are not liable to you for any indirect or consequential loss, or for any loss of profit, revenue, income, business, opportunity, goodwill, data or anticipated savings, however caused (including by negligence) and whether in contract, tort, under statute or otherwise;
- we are not liable for any loss caused by third-party tools or platforms, internet or power outages, your equipment, your own actions or omissions, or the actions of other members; and
- our total aggregate liability to you for all claims arising out of or in connection with these terms or any product is limited to the total amount you paid us for the specific product giving rise to the claim in the 12 months before the claim arose.
Our liability is reduced to the extent that any loss was caused or contributed to by you, your staff or contractors, or a third party.
16Indemnity
You indemnify MainTraining Pty Ltd, Sarah Cordiner and our team against any claim, loss, cost (including reasonable legal costs) or liability to the extent it arises from:
- your breach of clauses 8, 9, 10, 11 or 12;
- content, information or materials you provide to us or post on our platforms (including any claim that they infringe someone's rights); or
- your unlawful conduct, or how you use our materials or AI outputs in your business.
Your liability under this clause is reduced to the extent that the loss was caused by our own negligence or breach.
17Changes to programs and content
We continually improve our products, especially because tech and AI move fast. We may update, add, replace, re-film, reorder or retire materials, change schedules, session times and delivery platforms, move live sessions online, or change guest presenters.
If we make a change that materially reduces what you paid for, and we cannot offer something of equivalent value, you may cancel that product by telling us within 30 days of the change, and we will refund the unused portion of what you paid.
If we cancel a live workshop, event or session you have paid for, we will offer you a new date, a replay, online delivery or an equivalent credit. If none of these suit you, we will refund what you paid for that workshop, event or session.
18Suspension and termination
By us. We may suspend or end your access to any product, or remove you from a community, if:
- you do not pay an amount when due (see clause 5);
- you breach these terms and, if the breach can be fixed, you do not fix it within 7 days of our written notice; or
- you seriously breach clauses 8, 9, 10 or 12 (for example, sharing logins, distributing our materials or harassing members), in which case we may act immediately.
If we end your access because of your breach, we do not refund fees already paid for the current period, and any amounts you owe remain payable. If we end a product for any other reason, we will refund the unused portion of any prepaid fees.
By you. You can cancel a subscription under clause 28. Other products cannot be cancelled for change of mind once purchased, unless the product page or Part B, C or D says otherwise.
Clauses 5, 7, 9, 10, 11, 15, 16, 21 and 22 continue after your access ends.
19Privacy
We handle your personal information in line with our Privacy Policy, which forms part of these terms. It explains what we collect, how we use and share it (including with the service providers we use to run our business, some of which are overseas), and how to access or correct your information.
20Events beyond our control
Neither party is liable for a delay or failure to perform obligations (other than an obligation to pay money) caused by events beyond its reasonable control, including natural disasters, extreme weather, pandemics, government restrictions, war, terrorism, industrial action, utility or internet failures, platform outages, travel disruption, or serious illness or a family emergency affecting Sarah. The affected party will tell the other as soon as practicable and both will work in good faith to reschedule or find an alternative. Clause 17 applies to cancelled workshops and events, and clause 34 applies to speaking engagements.
21Resolving disputes
- Talk to us. If you have a complaint or dispute, email us at [email protected] with the details and what you would like us to do. We will respond within 10 business days.
- Negotiate. If it is not resolved within 20 business days of your email, either party may refer it to mediation in Queensland, conducted by a mediator agreed between us or, if we cannot agree, appointed by the Queensland Law Society. Each party pays its own costs, and the mediator's fees are shared equally.
- Court. Neither party will start court proceedings until this process has been followed, except to seek urgent injunctive relief, including to protect our intellectual property.
Nothing in this clause stops you contacting the ACCC, the Office of Fair Trading Queensland or another regulator, or applying to the Queensland Civil and Administrative Tribunal (QCAT) where it has jurisdiction.
22Governing law and jurisdiction
These terms are governed by the laws of Queensland, Australia, and the Commonwealth laws that apply there. You and we submit to the exclusive jurisdiction of the courts and tribunals of Queensland and the courts that can hear appeals from them. This applies wherever you live or access our products from. If you are outside Australia, you are responsible for complying with your local laws.
23Changes to these terms
We may update these terms from time to time. The latest version, with its date, will always be on this page.
- One-off purchases are governed by the version of these terms in place when you bought.
- Subscriptions and ongoing engagements (such as memberships, payment plans and active service projects): we will email you at least 30 days before a change that adversely affects you takes effect. If you do not want to continue on the new terms, you may cancel before the change takes effect. Where you have prepaid for a period that extends beyond the change (such as an annual membership), you may cancel and receive a pro-rata refund of the unused prepaid period. If you continue after the change takes effect, the updated terms apply to you.
- Minor changes that do not adversely affect you (such as fixing typos, clarifying wording or updating contact details) take effect when published.
24General
- Entire agreement. These terms, the product page and any signed agreement are the whole agreement between us about the product. You confirm you have not relied on any statement not contained in them, except where the law says you can.
- Severability. If any part of these terms is invalid or unenforceable, it will be read down or severed, and the rest continues in force.
- Waiver. If we do not enforce a right straight away, we have not given it up.
- Assignment. You may not transfer your rights under these terms without our written consent. We may transfer our rights and obligations to a related entity, or to a buyer of all or part of our business, provided your rights under these terms are not reduced. We will tell you if this happens.
- Subcontracting. We may use employees, contractors and service providers to deliver products. We remain responsible for their work under these terms.
- Relationship. Nothing in these terms creates a partnership, joint venture, employment or agency relationship.
- Notices. We may give you notices by email to the address on your account, or through the platform. A notice is received when sent, unless the sender receives an error message.
Courses, workshops, events and membership
Specific terms for each type of program. These apply in addition to Part A.
25Self-study courses and digital downloads
- Access begins when your payment is processed, for the access period on the product page.
- Fees are payable in full whether or not you complete or use the course.
- Digital downloads (such as prompt packs, AI skills, templates, spreadsheets, guides and SOPs) cannot be returned. There are no change-of-mind refunds once a download or access has been provided.
- Self-study courses: 7-day start-right window. Unless the product page says otherwise, if you change your mind about a self-study video course, you may request a refund within 7 days of purchase, provided you have accessed less than 10% of the course content and have not downloaded any of its resources. After 7 days, or once either limit is passed, change-of-mind refunds are not available. This window does not apply to digital downloads, live workshops, bundles, discounted or promotional purchases, or memberships.
26Live online workshops, masterclasses and bootcamps
- Your purchase gives you a seat at the live session and replay access for the period stated on the product page.
- If you cannot attend live, you can watch the replay. Missing the live session is not a reason for a refund.
- No change-of-mind refunds or credits are available once you have purchased.
- You may transfer your seat to another person in your business by emailing us at least 24 hours before the session starts.
- Times are in Brisbane time (AEST, UTC+10) unless stated. It is your responsibility to check the time in your own time zone.
- If we reschedule or cancel, clause 17 applies.
27In-person events and VIP implementation days
- Tickets. Tickets are non-refundable for change of mind. You may transfer your ticket to another person by emailing us their name and email at least 7 days before the event. Tickets cannot be resold for profit.
- Venue and program. We may change the venue to another venue in the same region, the timing within the advertised day, or the running order. We will let you know as soon as practicable.
- Travel and accommodation. Your travel, accommodation and other costs of attending are your responsibility. If we cancel or reschedule an event, we are not responsible for those costs, so we recommend booking flexible fares or travel insurance.
- Your equipment and preparation. Bring a charged laptop and anything listed in the pre-event instructions. Outcomes on implementation days depend on you having the access, logins, content and information we ask for in advance.
- Conduct and safety. Follow venue rules and reasonable directions from our team. We may refuse entry to, or remove, anyone who behaves in an unsafe, disruptive or inappropriate way, without a refund. Please tell us about any accessibility or dietary needs when you book.
- Your belongings. To the extent permitted by law, we are not responsible for loss of or damage to your personal belongings at an event.
28Legends Lab membership: monthly plans
Billing
Monthly memberships are an ongoing subscription. Your first payment is taken when you join, and the same amount is charged automatically every month on the same date until you cancel. Membership fees pay for access to the membership during each billing period, whether or not you use it.
How to cancel
You can cancel at any time, online, by submitting the Legends Lab cancellation form. This is the fastest way.
You can also cancel by emailing [email protected] with the subject "Cancel my Legends Lab membership" from the email address on your account. We will confirm every cancellation by email. Stopping a payment through your bank, or simply not using the membership, does not cancel it.
- Your cancellation takes effect at the end of your current billing period. You keep access until then.
- To avoid the next charge, cancel at least 24 hours before your next billing date.
- We do not refund or pro-rate partial billing periods, unless clause 4, 17 or 23 applies.
- Membership fees remain payable for every billing period in which you had access, including any period in which a payment failed but your access continued.
Failed payments
If a payment fails, we will retry it and email you. If it is still unpaid after 7 days, we may pause your access. If it is still unpaid after 30 days, we may cancel your membership.
Price changes and legacy pricing
We will give you at least 30 days' notice by email before we change your membership price. You can cancel before the new price applies. If you are on an older or legacy price, you keep that price only while your membership stays active. If you cancel, or your membership is cancelled for non-payment, and you later rejoin, the current price applies.
What is included
Membership inclusions are described on the current Legends Lab page. The membership is a living program: we add new trainings, resources and workshops, and update, replace or retire older content over time. Workshops sold separately are only included where we say so. Clause 17 applies to material changes.
29Legends Lab membership: annual plans
- An annual plan is a single, prepaid 12-month membership, priced at a discount to paying monthly.
- No change-of-mind refunds. Once purchased, the annual fee is not refundable, in whole or in part, for change of mind, non-use, a change in personal or business circumstances, or early cancellation. This is the trade-off for the annual discount. Your rights under clauses 4, 17 and 23 still apply.
- Your access continues until the end of the paid 12-month period.
- Renewal. Unless you cancel, your annual plan renews automatically for a further 12 months at the then-current annual price. We will email you a reminder at least 14 days before your renewal date. To stop renewal, cancel using the methods in clause 28 at least 24 hours before your renewal date.
- You can switch from monthly to annual at any time. The annual plan starts from the date you switch.
30One-on-one sessions, consulting and Get It Done sessions
- Time-based. These sessions are paid for Sarah's (or our team's) time, not for a particular outcome or the completion of specific tasks.
- Rescheduling. You may reschedule once, free of charge, with at least 24 hours' notice, subject to availability.
- Late cancellation. If you cancel or reschedule with less than 24 hours' notice, 50% of the session fee is forfeited. The balance may be used for a rebooked session within 3 months.
- No-shows. If you do not attend, or arrive more than 15 minutes late without telling us, the session is forfeited in full with no refund or credit. Late arrivals finish at the scheduled end time.
- Duration. Sessions run for the time you purchased. Extra time, and preparation time (such as reading, reviewing or watching your materials before or after a session), must be purchased separately at Sarah's current hourly rate (minimum $1,000 AUD per hour, plus GST where applicable).
- Packages. Prepaid sessions must be booked and used within 12 months of purchase unless the product page says otherwise. Unused sessions then expire.
- If we cancel. If we need to cancel your session, we will reschedule it at a time that suits you, or refund that session if we cannot.
31Packaged products (including the Chaos to Control VA SOPs package)
Packaged products are sets of ready-made resources or deliverables, not courses or coaching. There are no change-of-mind refunds once the package has been delivered to you or access has been granted. The materials are licensed to you under clause 9 for use in your own business only, and may be shared with your own staff and virtual assistants for that purpose.
32Affiliates
If you join our affiliate program, the affiliate terms in the affiliate portal also apply. You must clearly disclose your affiliate relationship when promoting our products, must not make income or results claims we have not approved, and must not bid on our brand names in paid advertising. We may withhold or reverse commissions on refunded, charged-back, self-referred or fraudulent sales.
Done-for-you services agreement
For curriculum design, course structuring, tech set-up, content and consulting projects delivered by MainTraining Pty Ltd under a proposal or tax invoice. Applies in addition to Part A.
33Done-for-you services
33.1 Acceptance
You accept this agreement and your proposal when you sign or accept the proposal or invoice (including online or by email), confirm acceptance in writing, ask us to start, let us start, or make any payment.
33.2 Scope, inclusions and exclusions
Your scope is strictly limited to the deliverables listed in your accepted proposal or tax invoice (your Scope). Anything not expressly listed is not included. Unless itemised in your Scope, the following are not included:
- Tekmatix subscriptions, discounts or extended trials, or any other software, platform, plug-in, licence or third-party fee (such as Zoom, Stripe, video editing, design or WordPress tools);
- hosting, maintenance, ongoing support, software updates or post-project management;
- copywriting, content creation, filming or editing beyond what is itemised; and
- fixing issues caused by third-party platforms, or by changes made by you or anyone else after handover.
You are responsible for setting up, paying for and maintaining your own third-party accounts. Project management calls and support are limited to the hours stated in your Scope. Extra time is charged at $150 AUD per hour (plus GST).
33.3 Your responsibilities
- Provide complete, accurate and final content, information, approvals, logins and access we need, in the format we ask for, promptly.
- Give us one main point of contact who can make decisions.
- Confirm you own, or have permission to use, all content you give us, and that it is lawful. You are responsible for the accuracy and legal compliance of your own content, offers and claims.
- Change any passwords you shared with us once the project is complete.
33.4 Timelines and the 90-day rule
Timeframes are estimates. They depend on your responsiveness and on you providing what we need. You have 90 days from project start to provide all content, information and approvals. If you have not done so by then, we may close the project as complete, deliver the work done to that point, and treat all fees as earned. Further work after closure requires a new proposal or additional paid time.
33.5 Revisions
- Projects are delivered in three stages: beginning, middle and completion. You are entitled to one round of revisions per stage. A revision is a tweak, edit or adjustment to existing work, not new work or a change of direction.
- Send all revisions for a round in one email within 7 days of that stage being delivered. If you send more than one email, we will action the first and treat the others as additional revisions.
- Additional revisions, and revisions sent after the 7-day window, are charged at $150 AUD per hour (plus GST). If you do not send revisions within 7 days, that stage is treated as approved.
33.6 Variations
Any work outside your Scope requires a written variation. We will send a variation quote, and the work proceeds only once you accept it. Accepted variations form part of this agreement.
33.7 Payment
- Fees are payable in full before work starts, or under a payment plan or finance arrangement we have agreed in writing.
- If a payment is late, we may pause all work until it is paid. Timelines extend by the length of any pause.
- Clause 5 (interest and recovery costs) applies to overdue amounts. If an amount is more than 30 days overdue, and you have not paid within 14 days of our written notice, we may end this agreement and remove our access to, and stop supporting, the work.
33.8 Ownership of the work
Once you have paid all fees in full, you own the final deliverables created specifically for you, and you get a licence under clause 9 to use any of our pre-existing materials, frameworks, templates, prompts and tools built into them. Until you have paid in full, all deliverables remain our property and you have no right to use them. We may display the work (without your confidential information) in our portfolio and marketing, unless you ask us in writing not to.
33.9 Cancelling a project
- You may cancel your project by giving us written notice. If you do, you must pay: (a) for all work completed and in progress up to the date of cancellation, calculated at our hourly rate from our time-tracking records or by stage completed; plus (b) a cancellation fee of 25% of the remaining, unbilled project value.
- The cancellation fee is a genuine pre-estimate of the loss we suffer from cancellation, including team capacity reserved and other work declined to deliver your project.
- We will refund any amount you have prepaid above these totals. If you have paid less, the difference is payable within 14 days.
- We do not offer change-of-mind refunds for work or hours already performed.
You may also end this agreement, without paying the cancellation fee, if we materially breach it and do not fix the breach within 14 days of your written notice. In that case you pay only for work properly completed to that date.
33.10 Our warranty and liability
We will deliver the services with due care and skill. If you tell us about an error caused by our work during the revision period for that stage, we will fix it at no cost within 7 business days. After that, fixes are charged at our hourly rate. Clauses 4 and 15 apply. We are not liable for delays caused by you or third parties, for issues caused by third-party software or hosting, or for errors caused by changes made by you or others after handover.
33.11 Our team
During your project and for 12 months after it ends, you must not directly or indirectly engage or employ any member of our team or contractors who worked on your project, without our written consent. If you do, you agree to pay us a placement fee equal to 25% of that person's first-year remuneration or contract fees, as a reasonable estimate of our recruitment and training costs.
33.12 Consulting and advisory sessions
Consulting, advisory and Get It Done sessions with Sarah that form part of a project are governed by clause 30.
Professional speaking engagements
For keynotes, workshops, panels, MC roles and corporate training delivered by Sarah Cordiner. Applies in addition to Part A, together with your booking agreement.
34Speaking engagements
In this Part, the Client is the organisation or event organiser booking Sarah, and the Fee is the speaking fee in the booking agreement.
34.1 Booking and confirmation
All bookings must be requested in writing. A booking is confirmed only when a written booking agreement has been signed and the Fee (or any deposit stated in the booking agreement) has been paid. Verbal agreements, emails and calendar holds do not confirm a booking. We may hold a date for up to 7 days while a booking is confirmed, after which the hold lapses.
34.2 Payment
The Fee must be paid in full before the event date, by the due date in the booking agreement. The engagement will not go ahead unless full payment has been received. Payment plans are not available unless agreed in writing. Fees for events in Australia attract GST.
34.3 Travel, accommodation and expenses
- The Client pays all flights, ground transport, accommodation, meals while travelling and reasonable out-of-pocket expenses, in addition to the Fee.
- Economy class applies to domestic flights under 2 hours. Business class applies to international flights and domestic flights over 2 hours.
- We may choose travel and accommodation appropriate to the engagement. Travel is booked only after the Fee has been paid.
- If an engagement is cancelled or rescheduled by the Client, the Client must pay any travel and accommodation costs already incurred that cannot be refunded, in full.
34.4 Cancellation or postponement by the Client
The cancellation fee reflects a genuine pre-estimate of our loss: the date is held exclusively for the Client, other paid engagements are declined, and preparation begins on confirmation. A material change to the event format, audience size, session length or delivery method, requested by the Client, may be treated as a cancellation and rebooked as a new engagement at the current rate.
34.5 Client responsibilities
- Provide a full event brief (audience profile, event format, session length and any content requirements) at least 30 days before the event. A late or incomplete brief may limit how tailored the presentation is, and does not entitle the Client to a refund.
- Provide the audio-visual equipment, stage and green room set out in Sarah's speaker rider, a safe venue, and a technician on site. Technical failures caused by the venue or Client equipment do not entitle the Client to a refund.
- Be responsible for the venue, audience management, health and safety, and the venue's insurance.
34.6 Content and conduct
Sarah will tailor her presentation to the brief, but retains creative and editorial control over its content and delivery. Sarah may mention her own programs and resources and offer a free resource to attendees, unless the booking agreement says otherwise. Live demonstrations of technology and AI depend on venue internet and third-party tools, and Sarah may substitute a recorded or slide-based demonstration where needed.
34.7 Promotion
The Client may use Sarah's approved biography, headshot and name to promote the event only. Any other use of Sarah's name, image, likeness or brand requires prior written consent. Sarah may approve all promotional materials that feature her name or image, and may promote her appearance at the event.
34.8 Recording and intellectual property
- All presentation content, slides and materials remain the intellectual property of MainTraining Pty Ltd and Sarah Cordiner.
- Recording, live streaming or broadcasting any part of an engagement requires prior written permission, agreed before the booking is confirmed, and may attract an additional licence fee.
- Where recording is permitted, the Client gives us a copy of the full recording within 14 days of the event, and we may use it for any commercial purpose.
- Slides, handouts and materials are shared at Sarah's discretion and are not automatically included.
34.9 If Sarah cannot attend
If Sarah cannot attend because of illness, family emergency or another event beyond her reasonable control, we will offer the Client a rescheduled date or online delivery. If neither suits the Client, we will offer a credit for 12 months or a full refund of the Fee paid, at the Client's choice. Clause 15 applies, and we are not liable for any other costs, such as venue, catering, marketing or attendee travel.
